Confidentiality & Cybersecurity

MNM acknowledges that a significant portion of its clients are minors and shall implement enhanced security protocols to ensure the safety, anonymity, and compliance of all interactions involving individuals under 18.

All staff members working with minors shall undergo background checks and receive specialized training in child safety, privacy compliance (e.g., COPPA), and appropriate digital conduct.

Personal information and content related to minors shall only be accessed by authorized MNM personnel on a need-to-know basis and stored in encrypted formats.

MNM shall not engage in direct communication with minors via personal channels (e.g., texting, private DMs) without explicit consent from a parent or guardian.

MNM will appoint a designated Minor Protection Officer who will ensure compliance with internal child safety policies and external regulatory requirements.

MNM agrees to protect all personal data and login credentials associated with the Client using secure storage and access protocols.

No Client content will be publicly released without prior review by the Client or their authorized guardian.

For Clients under 18, MNM shall comply with all applicable federal and state guidelines regarding the digital privacy of minors.

MNM employees shall be subject to confidentiality and non-disclosure agreements concerning all athlete data.


Code of Conduct

MNM staff and Clients are expected to uphold professionalism in all public content and interactions.

The Client shall not post or request that MNM post any content deemed hateful, explicit, violent, or otherwise violating NCAA or institutional standards.

MNM reserves the right to remove any content that may harm the Client's brand or MNM's reputation.

Repeated violations may result in termination of the Agreement with no refund.


Data Security

MNM maintains a secure client content management system, the MNM Portal, where all media files, personal information, and performance data are uploaded, stored, and accessed.

All uploaded content is encrypted at rest and in transit using industry-standard AES-256 encryption protocols.

Access to the MNM Portal is role-based and restricted to authorized personnel only. User activity is logged and monitored for compliance and the detection of potential breaches.

All content is backed up weekly to ensure data redundancy and recovery capability in the event of system failure.

Where applicable, MNM's data servers are hosted by certified cloud providers that comply with SOC 2, GDPR, and CCPA standards.

MNM will notify Clients within 72 hours if a confirmed data breach impacts their personal or media content.

Clients may request, at any time, to have their content archived or deleted from MNM's systems, subject to applicable retention policies and regulatory requirements.

Media Usage Release (Third-Party & Press)

The Client authorizes MNM to use all media created or submitted through the program, including videos, photos, statistics, interviews, and reels, for promotional purposes, marketing campaigns, public relations outreach, college and university recruitment efforts, and NIL brand partner engagement.

MNM may share Client content with reputable media outlets, social influencers, NIL platforms, and recruiting databases to support the Client's athletic visibility.

MNM will not commercialize or license Client media for profit to unaffiliated third parties without explicit written consent.

Any content distributed to third-party organizations will respect NCAA, state high school athletic association, and institutional compliance standards.

Parental Acknowledgement (if the Client is a Minor)

The undersigned parent or legal guardian certifies that they have read, understood, and consented to the full participation of the minor Client.

The guardian agrees to supervise their child's behavior on social platforms and during interactions with MNM.

The guardian acknowledges responsibility for all financial obligations and understands the safety measures to protect the minor Client.

MNM may communicate strategy, feedback, and incident reports with the guardian.

Social Media Platform Policy

MNM shall not be held liable for the actions or enforcement decisions of Instagram, TikTok, Facebook, YouTube, or any other third-party platforms used in connection with the Client's marketing.

MNM will promptly address account restrictions, content removals, or engagement issues by initiating platform appeals or offering platform alternatives (e.g., YouTube Shorts, athlete blog pages).

The Client agrees not to post or request MNM to post content that violates community standards or platform policies and will notify MNM if any platform enforcement action is taken.

Force Majeure

MNM will not be liable for delays, interruptions, or failure to perform any obligation under this Agreement due to unforeseen circumstances beyond its control, including but not limited to:

Acts of God, war, terrorism, labor disputes, embargoes, cyberattacks, or public health emergencies. Utility failures, communication line failures, or internet service disruptions

In such events, MNM will resume services promptly upon resolution and communicate in writing the status of service recovery and any adjustments to scheduling or deliverables.

Amendments Clause

This Agreement may only be modified by a formal written addendum signed by both Parties.

No informal conversations, emails, or texts shall alter the terms herein unless confirmed in writing through formal documentation.

Both Parties agree to review the Agreement annually or upon significant changes to regulatory, NIL, or social media platform policies.

Governing Law

This Agreement and any claim or dispute arising out of or relating to it shall be governed by and construed under the laws of the State of Maryland.

Jurisdiction for formal legal proceedings shall be located exclusively in Maryland unless otherwise mutually agreed upon.

Media Content Archiving & Deletion Rights

MNM will retain all Client content (photos, videos, performance data, communications, and stat sheets) in a secure, access-controlled repository for at least 24 months after contract termination.

Clients can request the deletion of specific media items, performance records, or their entire content profiles. Requests must be made in writing and verified by MNM through identity confirmation protocols.

MNM shall complete approved deletions within 10 business days and issue confirmation of content removal.

If no deletion request is made, MNM reserves the right to archive content indefinitely for internal analytics, service improvement, or trend research purposes. However, such content will not be reused or distributed without the Client's or guardian's renewed written consent.

Waiver & non-Reliance

The Client acknowledges and affirms that no verbal promise, suggestion, or preliminary conversation (via email, text, phone, or in person) has been relied upon in executing this Agreement.

This Agreement constitutes the complete and exclusive expression of the parties' intent, superseding all previous agreements, drafts, and marketing materials.

Both Parties agree that legal reliance is solely on this written document's express terms and obligations.

Non-Disparagement Clause

Both MNM and the Client (and Parent/Guardian, if applicable) agree to refrain from making, publishing, or promoting any false, harmful, or misleading statement—whether verbal, written, or digital—that could damage the reputation, business interests, or personnel of the other party.

This includes public commentary, social media posts, press statements, podcast mentions, interviews, and digital forums.

Violations of this clause may trigger service suspension, public correction demands, and legal proceedings, including injunctive relief and compensatory damages.

Photo/Video Release for Testimonials

The Client and/or Parent/Guardian grants MNM permission to use approved likenesses, interviews, highlight footage, and written or recorded testimonials across all forms of MNM media, including the web, print, digital advertisements, presentations, and investor materials.

Content will be used exclusively to promote MNM's services or celebrate Client milestones and will not be sold or used to generate third-party profit.

A written opt-out may be submitted at any time and will be honored within five business days.

Contact Preferences & Emergency Communication

MNM will use secure channels (email, official MNM platforms, text messaging) to communicate regarding services, scheduling, and deliverables. Guardians of minor Clients will be CC'd or included in all material communications.

In cases of emergency, such as media takedown demands, NIL deal deadlines, or reputation-sensitive events, MNM may initiate direct contact via phone or emergency SMS and is authorized to act in good faith to protect the Client's public image until formal instructions are received.

All communications will be logged and archived for accountability and reference.
