AGREEMENT TO OUR LEGAL TERMS

 

MNM CLIENT SERVICES AGREEMENT

 This Agreement is entered into as of the date of sale by and between:

We are Strategic Care Group ("Company," "we," "us," "our"), a company registered as MY NIL MEDIA (MNM), a Strategic Care Group LLC Company, a Maryland limited liability company with a principal place of business at 5000 Thayer Center Suite C. We operate the website (the "Site") and any related products and services that refer to or link to these legal terms (the "Legal Terms") (collectively, the "Services").

AND

Collectively referred to as the "Parties."

Services Provided

MNM agrees to provide the Client with NIL-focused brand development and media services based on the selected service tier (Tier 1–4). Each tier provides access to MNM’s proprietary Athlete Portal, strategic brand support, and tailored content delivery as follows:

Tier 1 – Foundation | Brand Discovery

  • Audience: Ages 5–12
  • Price: $3,000/year
  • Features: NIL education, Digital Sports Card (Junior), starter brand kit, portal access, social audit, passive recruiter visibility, and annual brand check-in.
  • Term Limit: Clients may remain on Tier 1 for a maximum of four (4) years. If the athlete is not ready to graduate to Tier 2, 3, or 4, the membership may be paused with a written request and reinstated once the family is prepared to re-engage.
  • Upgrade Incentive: After completing four full years in Tier 1, Clients can upgrade to Tier 2, 3, or 4 at a 75% discount. Upon completing one year in the upgraded tier, the Client will receive full lifetime platform access and transition to the appropriate Legacy tier (Legacy Circle or Legacy Elite).

Tier 2 – Development | Brand Awareness

  • Audience: Ages 12–15
  • Price: $6,000/year
  • Features: All Tier 1 features plus monthly content drops, athlete resume, media uploads, and MNM compliance tracker.
  • Additional Benefit: The Client will receive full access to the MNM platform and services until the transition into Legacy Circle.

Tier 3 – Prime | NIL Performance

  • Audience: Ages 15–18+
  • Price: $9,000/year
  • Features: All Tier 2 features plus DSC upgrade with video, NIL compliance overview, Coach Verified Program, weekly content drops, Talent Evaluator Portal access, and a custom brand playbook.
  • Additional Benefit: The Client will receive full access to the MNM platform and services until the transition into Legacy Circle.

Tier 4 – Elite | NIL Legacy

  • Audience: Ages 17–30 (NCAA, Transfer, Pro-Am)
  • Price: $12,000/year
  • Features: All Tier 3 features plus whole highlight film, NIL contract review (up to 8 hours), merch toolkit, athlete documentary, dedicated Account Manager, podcast/YouTube spotlight, brand health reports, and global NIL visibility.
  • Additional Benefit: The Client retains full access to the MNM platform and services until transitioning into Legacy Elite.

Legacy Access

  • Legacy Circle (Tier 1–3 Graduates): Clients who complete 3 years of paid service or reach tier maximum spend gain ongoing access to the Athlete Portal, Content Vault, NIL Support Hotline, and Showcase Invites at no additional cost.
  • Legacy Elite (Tier 4 Graduates): Tier 4 clients receive extended platform access and premium NIL support features (contract archive, evaluator network, and spotlight opportunities) from paid services.

Fees and Payment Schedule

The Client agrees to the pricing structure based on the selected Tier. Payment may be made in whole or in 12 monthly installments. Tiers 2, 3, and 4 qualify for zero percent (0%) interest financing over 12 months.

Payment methods accepted: ACH, credit/debit card, certified check.

Late Payments:

  • 5% late fee after 10 days
  • Service paused after 30 days
  • Termination after 60 days unless a balance is paid in full

NIL Commission Structure

MNM shall receive the following commission from the Client’s NIL earnings:

  • 2.0% on the first $100,000
  • 3.5% on the next $400,000 (i.e., from $100,001 to $500,000)
  • 5.0% on all NIL earnings above $500,000

Client must notify MNM of all NIL agreements within five business days and remit commission payments within ten business days.

 

Content Ownership & Rights

The Client grants MNM the right to:

  • Use all media (photos, videos, stats) submitted or created by MNM for marketing purposes
  • Publish, edit, and distribute said content across any MNM-controlled platforms or for third-party distribution in service of promoting the Client’s brand.
  • Retain archived content for future use unless otherwise revoked in writing

Clients retain all rights to their name, likeness, and intellectual property. No commercial licensing to third parties shall occur without the Client's or their guardian's written consent.

Term & Termination

This Agreement shall commence on the date of execution and shall continue until MNM services are completed unless otherwise terminated:

  • Voluntary Termination: Either party may terminate the Agreement with 30 days' written notice.
  • Breach of Contract: Termination may occur immediately upon either party's material breach, including non-payment or failure to deliver services.
  • Non-payment: If the Client is more than 60 days delinquent, MNM reserves the right to suspend all services and terminate the Agreement will not be issued unless explicitly approved in writing by MNM management.
